These terms govern use of the Stonebridge CRM platform — the management application, the organization public websites it hosts, and the related services (together, the "Service") — by the synagogues, congregations, and other organizations that subscribe to it (each an "Organization") and the individual staff users an Organization authorizes ("Users"). By using the Service, an Organization and its Users agree to these terms. If a separate written agreement exists between Stonebridge and an Organization, that agreement controls where the two conflict.
Stonebridge is an actively developed platform. Features will be added, changed, and occasionally removed as it matures. We describe the Service's current capabilities and current security posture in our documentation and our Privacy Policy, and we hold ourselves to describing them accurately rather than aspirationally. Early-access and pilot arrangements in particular are provided with the understanding that the platform is young and evolving; we will not silently reduce protections around an Organization's data, but the surrounding features may change.
Organizations designate the Users who may access their data, and are responsible for those Users' actions in the Service. Users must keep their credentials secure, must not share accounts, and must use any two-factor authentication the Organization or Stonebridge requires. An Organization must tell us promptly at info@stonebridgecrm.com if it believes an account has been compromised.
Organizations are responsible for the information they put into the Service: that they have the right to record it, that it is used consistently with their own obligations to their members and donors, and that they respond to their members' requests about it (our Privacy Policy explains this division — the Organization controls its member data; we process it on the Organization's behalf).
The Service may not be used to violate law, to infringe others' rights, to send unlawful or deceptive communications, to attempt to access another Organization's data, or to probe, overload, or circumvent the Service's security controls. We may suspend access that we reasonably believe threatens the Service or other Organizations' data, and will tell the affected Organization promptly when we do.
As between Stonebridge and an Organization, the Organization owns its data — its member records, financial records, website content, and everything else it enters. The Organization grants us the limited rights needed to host, process, back up, secure, and display that data in operating the Service. We claim no other rights in it. We do not sell it, use it for advertising, or use it to train artificial-intelligence models.
On request, we will export an Organization's data to it in a reasonable format. On termination, we will export and then delete the Organization's data from the live system on request, subject to our rolling backup cycle (up to seven days) and any records we are legally required to retain.
Where an Organization enables payment features, payments are processed by Stripe through the Organization's own connected Stripe account. Funds flow between donors or members and the Organization through Stripe — Stonebridge is not a party to those transactions, does not hold funds, and never receives payment card numbers. The Organization's relationship with Stripe is governed by Stripe's own agreements. Stonebridge's role is generating invoices, sending them, and recording their status.
Fees for the Service are as agreed in writing with each Organization. Pilot and early-access arrangements may be provided at no charge; where they are, the rest of these terms still apply. We will give Organizations reasonable advance notice before any fee begins or changes.
We operate the Service with commercially reasonable care, we monitor it for errors, and we maintain daily backups with a tested restore procedure. However, we do not yet offer a contractual uptime guarantee or a formal support service level; support is provided in good faith via info@stonebridgecrm.com. We say this plainly rather than promising a service level we have not yet built the operation to guarantee.
Except as expressly stated in these terms, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law: neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data (beyond our data-restoration obligations above); and Stonebridge's total aggregate liability arising out of the Service is limited to the greater of (a) the fees the Organization paid to Stonebridge in the twelve months before the event giving rise to liability, or (b) one hundred U.S. dollars ($100). Nothing in these terms limits liability that cannot lawfully be limited.
An Organization may stop using the Service and terminate at any time by notice to info@stonebridgecrm.com. We may terminate or suspend an Organization's access for material breach of these terms that remains uncured after reasonable notice, or immediately where necessary to protect the Service or other Organizations. Sections 5 (data ownership, export, and deletion), 9, 10, and 13 survive termination.
If we change these terms, we will post the updated version with a new effective date and notify Organizations of material changes before they take effect. Continued use after the effective date constitutes acceptance.
These terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Palm Beach County, Florida, and the parties consent to their jurisdiction.
